Terms of Service
Effective date: April 3, 2026
1. Acceptance of Terms
By accessing or using LogicGuard, a product of Adscod Ltd (“the Service”, “we”, “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
LogicGuard is a static-analysis and AI-assisted code-review platform that helps developers identify security vulnerabilities, logic bugs, and dependency risks in source code. The Service includes a web interface, API endpoints, scan engine, report generation, and related features.
3. Accounts
You must create an account to use most features. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. You must be at least 16 years old to create an account.
4. Acceptable Use
You agree not to:
- Upload code you do not have the right to analyze or share.
- Use the Service to circumvent security controls or build malware.
- Attempt to reverse-engineer, scrape, or overload our infrastructure.
- Resell or sublicense scan results without written permission.
- Use automated scripts to create accounts or trigger scans in bulk beyond your plan limits.
- Violate any applicable law or regulation, including export control laws.
5. Intellectual Property
The Service, including its design, codebase, scan rules, AI models, and branding, is owned by LogicGuard and protected by intellectual-property law. You retain all rights to the source code you submit. By submitting code, you grant LogicGuard a limited, non-exclusive licence to process that code solely to provide the Service to you. We do not train AI models on your private code.
6. Subscriptions and Billing
Some features require a paid subscription. Prices are listed on our Pricing page. Subscriptions are billed in advance on a monthly basis. All fees are non-refundable except as required by law or stated in our refund policy. We reserve the right to change prices with 30 days’ notice. Continued use after a price change constitutes acceptance of the new price.
Payments are processed by a third-party payment processor. We do not store your full card details. By purchasing a subscription, you authorise us to charge your payment method on a recurring basis until you cancel.
7. Cancellation and Termination
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or fail to pay fees when due.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF SECURITY VULNERABILITIES. SCAN RESULTS ARE INFORMATIONAL AND DO NOT CONSTITUTE PROFESSIONAL SECURITY ADVICE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGICGUARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless LogicGuard, its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising out of your use of the Service, your breach of these Terms, or your violation of any third-party rights.
11. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use after notice constitutes acceptance.
13. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration or in courts of competent jurisdiction. If you are a consumer in the European Economic Area, you may also have rights under local mandatory consumer-protection laws that cannot be waived.
